SaaS License Agreement

This Software-as-a-Service (SaaS) License Agreement (“Agreement”) is between you (“Customer” or “you”) and ReplyBotz, LLC (“ReplyBotz,” “we,” “us,” or “our”). By using our software, services, or tools, you agree to the terms below.
1. Open Source Licensing
ReplyBotz is an open source company. Unless otherwise noted, all original work we create and deliver-including bots, workflows, scripts, and documentation-is released under one of the following licenses:
– The GNU General Public License (GPL) (most recent version) for software and executable workflows
– The Creative Commons Attribution-ShareAlike (CC BY-SA) license for documentation, content, and training data
These licenses grant you the freedom to view, modify, fork, distribute, and even resell our work-so long as you maintain attribution and preserve the open license.

2. What’s Not Open Source
While our code and workflows are open, ReplyBotz branding (including our logo, website content, name, and brand assets) is proprietary and may not be used or reproduced without written permission.
Additionally, any third-party services, platforms, or APIs integrated into our systems (e.g., OpenAI, Stripe, Mailchimp) are subject to their own licenses and terms of use. You must comply with those independently.
3. Your Rights Under This Agreement
You may:
– Use our tools for commercial or personal purposes
– Modify and self-host workflows
– Resell or distribute bots built on our codebase (as long as you follow the license terms)
You may not:
– Use the ReplyBotz name or branding without permission
– Claim ownership of our open source software (though you can redistribute it under the same license)
– Violate the terms of any third-party service integrated into your implementation
4. Service Delivery (if using our hosted platform)
If you’re using our hosted chatbot service, we strive for reliable uptime and secure hosting. However, as an open source project, we do not offer SLAs unless separately contracted. You are always welcome to host the tools yourself.
5. Limitation of Liability
We provide all software and services “as is”-without warranties, express or implied. We are not liable for damages or losses caused by:
– Errors in bot responses or workflows
– Use or misuse of third-party services
– Your implementation of our code
Your use of our services and software is at your own risk.
6. Termination
You may stop using our services or fork our work at any time-no hard feelings. We may restrict hosted access only if you’re violating terms of third-party platforms, harming the community, or misusing our branding.

8. Hosted Service Addendum (for SaaS Clients)
If you’re using ReplyBotz-hosted services (e.g., chatbots on our infrastructure, integrations managed by us, customer dashboards, or replybotz.com domains), the following additional terms apply:
a. Platform Access and Usage
You are granted access to use ReplyBotz-hosted services as long as:
– Your account is in good standing
– You adhere to our Acceptable Use Policy and other published policies
– You do not abuse system resources or attempt to reverse engineer the hosted platform
b. Data Handling
We will:
– Process your data according to our Privacy Policy and Data Processing Addendum – Provide reasonable security measures and encrypted data storage
– Never sell your data to third parties
You retain ownership of your customer data, leads, and chatbot conversations. You are responsible for exporting or backing up your data as needed.
c. Hosted Service Availability
We aim to maintain 99.9% uptime, excluding scheduled maintenance. However: – We are not liable for downtime caused by upstream providers (e.g., OpenAI, Stripe) – We may suspend service for abuse, excessive resource use, or legal obligations
d. Fees
Use of the hosted service may be subject to monthly or annual fees. Failure to pay may result in suspended access or account termination. You may cancel anytime, and our Refund Policy applies.
e. Discontinuation
You may migrate to self-hosted at any time by exporting your bots or downloading code from our open source repository. We’ll provide reasonable assistance if requested.
